Adan Industries Limited
Long-term operational resilience, absolute regulatory compliance, and total transparency for our global B2B partners, financial institutions, and sovereign stakeholders.
Corporate Governance Statement
Adan Industries Limited operates under a centralized, institutional governance model designed to ensure long-term operational resilience, absolute regulatory compliance, and total transparency.
Rather than relying on individual personas, the authority, continuity, and creditworthiness of Adan Industries are anchored entirely within our structured corporate bylaws, legal frameworks, and rigorous risk-management systems. The company is governed by a unified Board of Directors and executed day-to-day by a centralized executive management committee comprising certified chemical engineers, industrial operations specialists, and corporate jurists.
Section 01
Adan Industries Limited is duly incorporated under the laws of the Federal Republic of Nigeria and maintains full legal and fiscal compliance across all tiers of local, state, and federal government. Our 4-hectare manufacturing campus and integrated supply chain in Akwa Ibom State operate under strict statutory oversight, holding valid permits and authorizations including, but not limited to:
Fully certified by the Federal Ministry of Industry, Trade and Investment to operate high-capacity agricultural processing and oil refining infrastructure.
Operates under a certified Environmental Impact Assessment (EIA) approved by the Federal Ministry of Environment and the Akwa Ibom State Environmental Protection Agency (AKSEPA), ensuring full compliance regarding land usage, emission controls, and POME effluent processing.
Headed toward full product registration and compliance frameworks established by the National Agency for Food and Drug Administration and Control (NAFDAC) for all refined, bleached, and deodorized (RBD) consumer and industrial oil products.
Fully registered with the Federal Inland Revenue Service (FIRS) for corporate taxation and structurally aligned with the Nigerian Export Promotion Council (NEPC) to facilitate smooth international maritime trade.
Section 02
Every operating layer of the campus is governed by audited frameworks — from mechanical SOPs on the mill floor to IFRS discipline in the boardroom.
Every phase of extraction, fractionalization, and thermal power generation follows rigorous, audited Standard Operating Procedures (SOPs), minimizing mechanical downtime and eliminating supply-chain vulnerabilities.
Our production lines are engineered around Hazard Analysis Critical Control Point (HACCP) principles and ISO 22000 Food Safety Management frameworks, ensuring that all bulk lipids and co-packed goods meet strict global purity standards at the point of dispatch.
All corporate accounting, capital deployment records, and investor assets are managed and audited under the International Financial Reporting Standards (IFRS). This ensures seamless financial due diligence for international banking consortia and institutional joint-venture partners.
Section 03
Adan Industries Limited is structurally organized into distinct, ring-fenced operational divisions. This modular corporate architecture insulates the company's core assets, creates clean cost-centers for financial reporting, and enforces precise legal accountability. To facilitate our 3-to-5-year scaling roadmap, our corporate bylaws permanently establish the following primary divisions and upcoming vertical expansion modules:
Governs our three strategic Fresh Fruit Bunch (FFB) collection hubs, regional outgrower contract networks, and our baseline 20 TPH extraction mill.
This division holds the corporate framework for our upcoming Nucleus Plantation Module, designed to bring 5,000 to 15,000 hectares of sustainable, high-yield oil palm acreage under direct corporate management.
This unit directly captures the primary milling byproduct stream, processing raw palm kernels to isolate Palm Kernel Cake (PKC). This protein-rich, high-fiber matrix serves as the foundation for our upcoming bulk animal feed manufacturing lines.
Governs our phase-one 50 TPD (expanding to 100 TPD) physical refinery, multi-stage distillation modules, and Palm Kernel Oil (PKO) fractionation lines.
This unit is structurally pre-wired to launch our highly anticipated Oleochemical Processing lines (Split Fatty Acids, Glycerine, Soap Noodles) by 2028, alongside our dedicated Specialty Fats & Butters laboratory to serve the regional confectionery and industrial food manufacturing sectors.
This sub-division leverages specialized high-lipid byproducts derived directly from the refining and neutralization of PKO and other oils. By blending these energy-dense residual fats with our internal PKC fiber streams, this module will manufacture premium-grade, high-calorie commercial animal feeds tailored specifically for the West African livestock, poultry, and aquaculture industries.
Governs our current self-sufficient 25 TPH biomass steam turbine and 2MW captive power plant, alongside our advanced POME effluent treatment facility.
As an independent cost-center, this division is engineered to transition into a commercial Renewable Energy & Pelletisation Module. It will manage the processing of residual solid biomass into high-density industrial fuel pellets for export, alongside exploratory phases for exporting excess turbine and rooftop solar electricity directly back to the local Nigerian grid network.
This division holds the development pipeline for our Biofuels / Palm Methyl Ester (PME) refinery module to service regional and EU-compliant green energy mandates.
Governs our automated B2B retail and industrial bottling lines, contract co-packing/private label agreements, secure warehouse management, and maritime deepwater port transport corridors via regional shipping terminals.
Automated bottling and co-packing capacity, bonded warehouse management and dispatch staging connect the entire divisional architecture to bulk off-take contracts, regional distribution networks and international maritime trade lanes.
Our compliance desk coordinates documentation packs for banking consortia, regulators and joint-venture partners — from EIA certificates to IFRS reporting packs.
